Terms & Conditions

Effective April 30, 2026

These Terms & Conditions (“Terms”) govern your engagement with ARS Media LLC, doing business as Arsyn and Arsyn Systems(“we,” “us,” or “our”). By signing a project agreement, submitting an inquiry, or otherwise engaging our services, you agree to these Terms. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity.

1. Services

Arsyn Systems provides marketing infrastructure services for trades and service-based businesses, including but not limited to:

  • Website design and development
  • Lead capture forms and routing automation
  • Speed-to-lead SMS notification systems
  • Missed-call text-back configuration
  • CRM setup and pipeline configuration
  • Google Analytics and Meta Pixel integration
  • Recorded launch session and handoff documentation

The exact scope of each engagement is defined in the project proposal or service agreement executed between the parties. These Terms apply to all such engagements unless superseded by a written agreement signed by both parties.


2. Project Engagement & Scope

A project begins upon receipt of a signed project agreement and the applicable deposit payment. Scope, deliverables, and estimated timelines are defined in the project agreement for each engagement.

Changes to scope after project commencement require a written change order agreed to by both parties. Scope changes may affect the timeline, deliverables, and total project cost. Arsyn Systems is not obligated to perform out-of-scope work without a signed change order.


3. Payment Terms

Our standard website and lead infrastructure build is offered at a flat rate, as stated in your project agreement. All pricing is in U.S. dollars.

  • Deposit: A deposit is required before work begins. The amount is specified in your project agreement.
  • Final balance: The remaining balance is due prior to or upon launch, as outlined in your project agreement.
  • Payment plans: Payment plans may be available. Terms are specified in your individual agreement.
  • Late payments: Balances unpaid more than 14 days past the due date accrue interest at 1.5% per month. Arsyn Systems reserves the right to pause work or withhold launch until outstanding balances are settled.
  • Deposits are non-refundable once project work has commenced.

4. Client Responsibilities

To maintain the agreed-upon timeline, clients are responsible for:

  • Providing all required content — including copy, photos, and business details — within 5 business days of request
  • Providing timely feedback during review rounds within 3 business days
  • Granting necessary access to domain registrars, hosting accounts, or third-party platforms required for the build
  • Ensuring the accuracy of all information and content provided to Arsyn Systems

Delays caused by late client deliverables, non-responsiveness, or failure to provide required access may extend the project timeline. Arsyn Systems is not responsible for timeline slippage attributable to client delays.


5. Intellectual Property & Ownership

Upon receipt of full payment, the client receives full ownership of:

  • The completed website and all custom code produced for the project
  • All design assets created specifically for this engagement
  • Domain (if purchased by the client), hosting account, and CRM data

Arsyn Systems retains the right to display completed work in its portfolio and use project details as a reference in marketing materials, unless the client requests otherwise in writing prior to launch.

Pre-existing Arsyn Systems assets, frameworks, or templates incorporated into the build remain the intellectual property of Arsyn Systems. They are licensed — not sold — to the client for use as part of the delivered product, on a perpetual, non-exclusive basis.


6. Third-Party Platforms & Services

Arsyn Systems integrates with third-party platforms as part of its service. These may include, but are not limited to: Airtable, Twilio, Google Analytics, Meta, HubSpot, Pipedrive, GoHighLevel, and other CRM or automation providers.

Third-party platforms are subject to their own terms of service, pricing, and availability, which may change independently of Arsyn Systems. We are not liable for any changes, outages, price increases, or discontinuation of third-party services. Any ongoing fees associated with third-party platforms after project handoff are the client's responsibility unless otherwise specified in the project agreement.


7. Timeline & Delivery

Typical builds complete in 3–4 weeks from the project start date. Timelines are estimates and depend significantly on client responsiveness and the timely delivery of content and feedback.

Arsyn Systems will communicate any delays promptly. We do not guarantee specific calendar launch dates but will make reasonable efforts to meet timelines outlined in the project agreement.


8. Post-Launch Support

Each build includes a 30-day post-launch support window covering bug fixes and configuration issues related to the delivered scope. This window begins on the date the site goes live.

Post-launch support does not cover:

  • New features or functionality not included in the original scope
  • Additional integrations or platform connections
  • Issues caused by client modifications after handoff
  • Third-party platform outages or policy changes

Support requests during the 30-day window should be submitted to ops@arsynsystems.com.


9. Confidentiality

Both parties agree to treat as confidential any non-public information disclosed in connection with a project engagement. This includes, without limitation, pricing, business strategy, client data, and proprietary processes. This obligation survives termination of the engagement.


10. Limitation of Liability

To the maximum extent permitted by applicable law, Arsyn Systems' total liability arising out of or related to any project engagement shall not exceed the total fees paid by the client for that engagement.

Arsyn Systems is not liable for:

  • Lost revenue, lost leads, or lost business opportunities
  • Indirect, incidental, special, or consequential damages
  • Outcomes dependent on client responsiveness, follow-up practices, or operational execution
  • Third-party platform failures, outages, or policy changes

Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or personal injury caused by our negligence.


11. Indemnification

You agree to indemnify and hold harmless Arsyn Systems, ARS Media LLC, and their respective officers, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our Services; (b) your violation of these Terms; or (c) content, information, or materials you provide to Arsyn Systems that infringe a third party's rights or violate applicable law.


12. Termination

Either party may terminate a project engagement with 7 days' written notice. Upon termination:

  • The client is responsible for payment for all work completed to date, calculated on a pro-rata basis against the total contract value
  • Deposits are non-refundable after project work has commenced
  • Arsyn Systems will deliver all completed work product and associated assets to the client within 5 business days of termination

13. Governing Law & Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising from these Terms or a project engagement shall be resolved exclusively in the state or federal courts located in New Jersey. You consent to personal jurisdiction in those courts.

Before initiating any legal action, both parties agree to attempt to resolve disputes informally by contacting ops@arsynsystems.com with a written description of the dispute. Both parties will make a good-faith effort to resolve the matter within 30 days.


14. Updates to These Terms

Arsyn Systems may update these Terms from time to time. The revised version will carry an updated effective date at the top of this page. For active project engagements, the Terms in effect at the time the project agreement was signed govern that engagement. Continued use of our website or services following any update constitutes acceptance of the revised Terms.
